This Agreement is entered into between the merchant (“Merchant”) who is identified on the signed the Merchant Processing Application (“Application”), Evolve Bank & Trust, member FDIC (or “Bank”), and Payarc, LLC, a Delaware limited liability company (“ISO”). ISO and Bank may be collectively referred to as the “Settlor.” The acquirer (Bank) is the only entity that can direct merchant funds for settlement and/or reserves. Subject to the requirements of applicable Card Association rules, ISO and Bank may and hereby do allocate Settlor’s duties and obligations as they, in their sole and exclusive discretion, deem appropriate. ISO and Bank may jointly or individually assert or exercise any right(s) or remedies provided to Settlor under this Agreement.
