The SEC September 17 approved a controversial policy statement explaining that the commission will no longer factor the presence of mandatory arbitration clauses in corporate governing documents when considering whether to accelerate companies’ registrations for initial public offerings. Under the previous policy, the SEC refused to accelerate registration statements with these clauses. The new statement, which is inconsistent with CII membership-approved policy 1.9 Judicial Forum, said that instead the SEC will focus solely on the adequacy of the registration statement’s disclosures, including disclosure regarding any mandatory arbitration provision.
